By signing up to LanguageMate you agree to the following Terms of use.
These Terms of Use ("Terms") govern your use of the LanguageMate platform as an individual user, whether you are a student, teacher, administrator, or other authorised user within an institution that has entered into a separate service agreement with LanguageMate LTD.
Our LanguageMate Services include a generative-AI conversational platform designed to facilitate language practice, available as a mobile and/or tablet application ("Apps") and through our website at https://www.languagemate.io ("Website"). Access to our scenarios, courses, and interactive features constitutes our service to you ("Services").
Relationship to Institutional Agreement: Access to LanguageMate is provided through your institution (such as a school, university, or training provider) under a separate institutional agreement between your institution and LanguageMate LTD. That institutional agreement governs commercial matters including fees, licence quantities, duration, and data processing. These Terms govern your individual use of the platform. In the event of any conflict between these Terms and the institutional agreement, the institutional agreement shall prevail.
If you do not agree to comply with these Terms, please do not register to use, access, or continue to use our Services. We may terminate your access to the Services if you breach these Terms in accordance with Clause 11 below.
By accessing or using LanguageMate, you agree to be bound by these Terms of Use and our Privacy Policy, and any other conditions referenced herein.
You confirm:
(a) you are at least 18 years old, or your institution has authorised your use of the platform and accepted responsibility for your compliance with these Terms (see Clause 4.4 and 4.5 below); and
(b) your use of the Services will not violate any clause set out below or any applicable law or regulation in the jurisdiction in which you reside.
We reserve the right to modify or replace these Terms at any time, at our sole discretion. Any changes will be posted on this page, and the "Last Updated" date at the top will be revised accordingly.
It is your responsibility to review these Terms periodically for changes. Your continued use of the Services following the posting of any changes signifies your acceptance of those changes. If you do not agree with the new Terms, please discontinue using the Services.
LanguageMate offers AI-driven language learning scenarios that incorporate real-world conversational settings to users worldwide. Our Services include, but are not limited to, interactive scenarios, immediate personalised feedback, and structured language courses.
We reserve the right to modify, update, or discontinue any feature of the Service at any time, with or without notice.
To access the features of the platform, you must create an account or have an account provisioned for you by your institution. You agree to provide accurate, complete, and up-to-date information during registration and to update such information as necessary.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us ([email protected]) or your institution's administrator immediately upon becoming aware of any breach of security or unauthorised use of your account.
Sharing account credentials is strictly prohibited. Each account is for the sole use of the individual to whom it is assigned. Accounts found to be in violation of this rule will be subject to immediate suspension or termination. We reserve the right to terminate any account without notice if we believe multiple persons are using a single account.
Our Service is designed for use by educational institutions and their staff. Students under the age of 18 may only use the Service under the supervision and with the permission of their school. The institution is responsible for obtaining appropriate parental consents for student use where required by applicable law. The Company does not knowingly collect personal information directly from children under 13 without verifiable parental consent, except as permitted through the school as authorised by parents through the school-parent relationship and that the minor's use of the platform complies with these Terms. The institution accepts responsibility for its minor users.
In an institutional setting, such as a school, university, or training programme, an authorised individual (such as a teacher, administrator, or other designated representative) may consent to these Terms on behalf of students or participants, provided they are authorised to do so. By providing consent, the authorised individual affirms that they have the authority to act on behalf of the students or participants, and that the students or participants are aware of and agree to comply with these Terms.
Subject to these Terms and your institution's service agreement with LanguageMate LTD, LanguageMate grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform and its content for educational purposes within your institution.
This licence does not include any right to sub-licence, assign, or transfer the licence to any third party. You may not use the platform outside the scope authorised by your institution. Any attempt to do so shall be void and may result in the immediate termination of your access.
Our aim is not to restrict individual users from using the Service, however, our users must adopt "fair use" behaviour. We reserve the right to suspend or restrict access for any account that uses the platform in a manner we consider excessive or abusive, and to notify the relevant institution.
All fees, payment terms, licence quantities, and subscription duration are governed by the separate institutional agreement between your institution and LanguageMate LTD. These Terms of Use do not create any payment obligations on individual users.
You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the Service. Prohibited behaviours include, but are not limited to:
(a) Uploading, posting, or transmitting any material that is unlawful, harmful, defamatory, obscene, harassing, abusive, fraudulent, or otherwise objectionable as reasonably determined by LanguageMate.
(b) Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
(c) Uploading any content that contains viruses, worms, or other malicious code.
(d) Jailbreaking, reverse-engineering, or otherwise attempting to circumvent the AI models or security measures used on the platform, so that tools do not operate as intended.
(e) Spamming or sending unsolicited messages through the platform.
(f) Attempting to gain unauthorised access to our servers or networks connected to LanguageMate.
(g) Using the platform to collect personally identifiable information of other users.
(h) Reselling, redistributing, or making the Service available to anyone outside your institution without our prior written consent.
We reserve the right to terminate or suspend accounts that violate this clause without notice, and to notify the relevant institution.
LanguageMate leverages Artificial Intelligence (AI) technologies to generate content and facilitate language learning through conversational real-world scenarios. Users acknowledge that AI-generated content, including responses, conversations, and other materials, is created automatically without human review before being provided to the user.
To the fullest extent permitted by applicable law, LanguageMate does not assume any liability or responsibility for the accuracy, completeness, reliability, appropriateness, or legality of any AI-generated content. The content is provided "as is" and "as available".
Users should exercise discretion while interacting with AI-generated content. The content is intended for educational purposes to teach conversational skills in a foreign language only and should not be relied upon as professional or personal advice or construed as providing recommendations of any kind.
We are not responsible for any decisions or actions taken based on AI-generated content, and we disclaim any liability for damages or losses resulting from your reliance on such AI-generated content.

Where you access the Service through an institution or company:
(a) The institution or company is the data controller for all personal data relating to your use of the platform (including learning progress, conversation logs, and usage analytics). LanguageMate LTD processes this data as a data processor under a Data Processing Agreement ("DPA") with the institution or company.
(b) LanguageMate LTD is the data controller for account registration information you provide directly to us (name, email, login credentials), as described in our Privacy Policy at https://languagemate.io/privacy
You have rights under data protection law in relation to your personal data, including rights of access, rectification, erasure, restriction, portability, and objection. If your account is provided through a company or institution, they are the data controller for your usage data and LanguageMate LTD is the data controller for your account registration data. You may exercise your rights by contacting your company or institution, or by contacting us directly at [email protected].
In the event that LanguageMate LTD becomes aware of a personal data breach (as defined under UK GDPR) affecting your personal data, we shall notify your institution without undue delay and, where feasible, within seventy-two (72) hours of becoming aware of the breach, unless the breach is unlikely to pose a risk to our users rights and freedoms. Such notification shall include, to the extent known at the time, the nature of the breach, the categories and approximate number of individuals affected, the likely consequences, and the measures taken or proposed to mitigate its effects. This clause is without prejudice to LanguageMate LTD's obligations to notify the Information Commissioner's Office under applicable data protection law.
The Service and its original content, features, and functionality are and will remain the exclusive property of LanguageMate LTD and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our name 'LanguageMate' is our registered trademark. You are granted no general right or commercial licence with respect to our trademarks, service marks, and logos.
By using the Service, you grant LanguageMate LTD the right to process your conversation inputs and language practice interactions for the following purposes:
(a) Providing and operating the Service (including generating AI responses and tracking your learning progress);
(b) Ensuring platform security and preventing abuse;
(c) Providing analytics to your company or institution (where applicable).
Where your account is provided through a company or institution, we process this data as a data processor on their behalf in accordance with our Data Processing Agreement with that organisation.
By using the Service, you grant LanguageMate LTD a worldwide, perpetual, irrevocable, royalty-free, non-exclusive licence to use, reproduce, and incorporate your conversation inputs and language practice interactions (in anonymised form only) for the purposes of:
(a) Improving and training our AI models and language learning features;
(b) Conducting research and development;
(c) Creating aggregated datasets and analytics.
This licence applies only to anonymised data. "Anonymised" means that all identifying information has been irreversibly removed such that you cannot be re-identified. Once anonymised, this data is no longer considered personal data under GDPR.
Please note that: we do not use identifiable personal data to train our AI models.
Anonymisation typically occurs periodically during your use of the service. You may object to the processing and anonymisation of your data at any time before anonymisation by contacting us at [email protected].
To the extent your inputs constitute copyrightable material, this licence allows us to use such material only in anonymised, aggregated form for the purposes described above. We do not claim ownership of your original content.
Upon deletion of your account, your identifiable personal conversation data will be deleted in accordance with our Privacy Policy and any applicable data retention requirements under the institutional agreement or data protection law, except to the extent it has been anonymised as described in clause 9.3.

We reserve the right, but not the obligation, to monitor and remove content created by users or uploaded to the platform that violates these Terms, or that we deem inappropriate or offensive. We may, at our sole discretion, suspend or terminate any account for violation of these Terms, without notice or liability, and will notify the relevant institution where appropriate.
We may terminate or suspend your individual access to the Service immediately, without prior notice or liability, if you breach these Terms. We will notify your institution where reasonably practicable.
If your institution's agreement with LanguageMate LTD expires or is terminated for any reason, your access to the Service will also end. We are not responsible for notifying individual users of the termination of an institutional agreement, this is your institution's responsibility.
You may request deletion of your account at any time by locating the 'delete profile' option in the settings section of your profile, or by contacting us at [email protected] or your institution's administrator. Once your account is deleted, your account credentials, profile information, and contact details will be permanently deleted within 30 days of your deletion request. Your licence will be revoked and you will no longer have access to your profile or data.
We reserve the right to deactivate accounts that have been inactive for a period of two (2) years, at our sole discretion. If your account is deactivated for inactivity, any stored data may be deleted in accordance with our Privacy Policy.
All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
LanguageMate is provided "as is" and without warranty of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While we strive to provide a valuable service, we do not warrant that the Services will meet your requirements, that the operation of the Services will be uninterrupted or error-free, or that defects in the Services will be corrected.
Any service level commitments are set out in the institutional agreement between your institution and LanguageMate LTD, and are not covered by these Terms.
In no event shall LanguageMate LTD, its directors, employees, or affiliates be liable to you for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, or goodwill, whether arising from your use of the Service or for any other claim related in any way to your use of the Service.
Our total aggregate liability to you as an individual user for all claims arising out of or in connection with these Terms or your use of the Service shall not exceed one hundred pounds sterling (£100). The liability of LanguageMate LTD to your institution is governed separately by the institutional agreement.
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any matter for which it would be unlawful for us to exclude or limit liability.
You agree to indemnify, defend, and hold harmless LanguageMate LTD, its directors, officers, employees, contractors, suppliers, affiliates, agents, and licensors from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service in breach of these Terms; (b) your User Content; (c) your violation of any rights of another person or entity, including but not limited to intellectual property rights.
The Service may contain links to third-party websites or services that are not owned or controlled by LanguageMate LTD. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that LanguageMate LTD shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with your use of any third-party website or service.
LanguageMate operates under the laws of the United Kingdom. If you access the Service from outside the United Kingdom, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. Your institution is responsible for ensuring that its deployment of LanguageMate complies with local laws. LanguageMate LTD makes no representations that the Service or any content available through it is appropriate or lawful for use in all locations.
LanguageMate LTD shall not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under these Terms caused by events outside its reasonable control, including but not limited to acts of God, war, terrorism, strikes, floods, fire, pandemics, governmental action, or disruption to internet services or infrastructure.

If you wish to notify us about any suspected copyright infringement, please contact us using the same email address with the subject line "Copyright Notification".
In the event of any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the Services, the parties shall first attempt to resolve the matter through good-faith negotiation. The party raising the dispute shall provide written notice to the other party, setting out the nature of the dispute in reasonable detail, by email to the contact addresses set out in these Terms.
The parties shall use reasonable endeavours to resolve the dispute within thirty (30) days of receipt of such notice (the "Resolution Period"). During the Resolution Period, the relevant contacts at LanguageMate LTD and, where applicable, your institution shall engage constructively to seek an amicable resolution.
Neither party may commence court proceedings in relation to the dispute until the Resolution Period has expired, except where a party reasonably requires urgent injunctive or interim relief.
If the dispute is not resolved within the Resolution Period, it shall be subject to the exclusive jurisdiction of the courts of England and Wales in accordance with Clause 19.2 below.
These Terms shall be governed and construed in accordance with the laws of England and Wales.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms, which shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you as an individual user and LanguageMate LTD in relation to your use of the Services. They do not supersede or affect the institutional agreement between your institution and LanguageMate LTD, which governs commercial and data processing matters.
No failure or delay by LanguageMate LTD in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy. A waiver of any right or remedy under these Terms will only be effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy.
